Financial institutions are facing unprecedented market challenges. Traditional sources of revenue are changing, costs, even for steady streamlining of regulation are increasing, business models that seemed consolidated are evolving and habits and customer behaviours are changing. The development of technology applied to the financial industry can represent a risk but at the same time an opportunity.
The Nctm Financial Institution Group partners its customers in this evolution, providing assistance and advice to banks, financial intermediaries, investment firms, savings management companies, fundraising and other financial institutions in typical activities (funding, conduct of investment services and collective management of savings, etc.), and in relation to all other areas of law within, where they require specialised assistance in consideration of the specific needs of their business.
In particular, the Financial Institutions Group assists its clients in the preparation and subscription of contractual transactions directly related to their core business, such as corporate finance, NPL portfolios, project finance, debt restructuring of its counterparties, signing of agreements relating to plans attested under ex art 67 l.f. and restructuring agreements pursuant to art. 182 l.f.; in the capital market, on the various roles that they undertake – arranger, issuer, subscriber – in the issue of financial instruments and quotation on MTA and AIM markets; in banking, financial (eg mis-selling of financial products, executive procedures, revocatory actions, causes of wear and tear) and insurance disputes; and in the enforcement proceedings of the Supervisory Authorities (CONSOB and the Bank of Italy).
The assistance provided to financial institutions also covers the application of sectoral legislation (legislative and regulatory) on the provision of banking, financial, investment and insurance services also to the relevant supervisory authorities.
The Financial Institution Group has also specific expertise in respect of prudential supervision and banking governance as well as in the management of banking crises and financial intermediaries, including the management of rigorous procedures, also on the mandate of the Supervisory Authority.
In addition, the Financial Institutions Group has specific expertise in relation to the taxation of financial institutions and has gained significant experience in the acquisition and merger of banks, bank branches, insurance companies and financial intermediaries, and outsourcing some of the activities carried out by these institutions, such as IT and non-performing credit management. It has been involved in some of the most recent merger operations in important banking and insurance sectors.
Lastly, the Financial Institution Group deals with the financial institutions sector in terms of antitrust law, both in relation to merger operations, agreements and labour law, assisting on the outsourcing processes in banking, and the reorganization of distribution networks formed by financial promoters.
