Nctm, Russo De Rosa Associati, KPMG and EY on the acquisition of Mobil Project by EXA
Nctm Studio Legale, Russo De Rosa Associati and KPMG advised EXA S.r.l. (“EXA”) on the strategic partnership with Mobil Project S.p.A. (“Mobil Project”), with the assistance of EY and Gianluca Sicchiero.
The transaction was implemented through EXA’s acquisition of 100% of Mobil Project’s corporate capital.
EXA is one of the most important player in Europe in the General Contractor market mainly dedicated to the world of fashion retail and is engaged in the construction of shops representing global brands, including, most recently, the new “Roastery” space of Starbucks in Milan, Piazza Cordusio.
Mobil Project is a company of the Veneto region, active for over 30 years, specialised in contract furnishing service destined to hospitality, in particular luxury hotels and villas, in international markets.
The transaction was carried out by EXA through a wholly owned newco, which acquired Mobil Project, and was financed in part by own funds of EXA quotaholders’ – who funded the acquisition by subscribing and releasing a capital increase – and in part through the refinancing of EXA and the financing of newco, with Carifirenze, Banco BPM and Banca IMI (as agent and arranger).
Nctm Studio Legale assistited EXA and its controlling quotaholder Alcedo SGR S.p.A., in its capacity as manager of the fund “Alcedo IV”, with a team coordinated by Pietro Zanoni and Lucia Corradi and including Martina Villa, with regard to M&A aspects, and by Eugenio Siragusa, assisted by Lucia Vittoria Lonoce and Martina Marmo, with regard to finance aspects.
EXA was assisted in the transaction also by Studio Legale Tributario Russo De Rosa Associati, with Leo De Rosa, Erika Cucco, Pietro Cumpostu and Martina Bambino, with regard to the definition of the transaction structure and to the fiscal due diligence activities, and by KPMG S.p.A., with Alberto Galliani, Stefano Rizzone and Marco Colombo with regard to the financial due diligence.
Mobil Project’s shareholders were assisted by EY S.p.A., with Roberto Bonacina, as financial advisor, and by Prof. Gianluca Sicchiero and EY itself with regard to legal aspects.
